01 Who we are & acceptance

Valdryss Technologies Pty Ltd is a technology company based in Perth, Western Australia. These terms apply each time you access or use the Services. If you are using the Services on behalf of a business, you confirm you have authority to bind that business to these terms, and "you" includes that business.

If you do not agree to these terms, you must not use the Services.

02 The Services

Valdryss builds vertical software for the trades. At present this includes:

• Kelvyn — an HVAC room-load calculation tool that produces indicative kW sizing and reports from photos and inputs you provide.
• Tradox — a field documentation tool that turns voice recordings into written, GPS- and time-stamped reports.

We are continually improving the Services and may add, change or remove features. We will give reasonable notice of material changes that adversely affect a paid plan you are on.

03 Your account

You need an account to use most features. One Valdryss account gives you access to Kelvyn and Tradox under your plan. You agree to provide accurate details, keep your password secure, and take responsibility for activity under your account. You must be at least 18 years old and able to enter a binding contract.

Tell us promptly at security@valdryss.com if you suspect any unauthorised use of your account.

04 Plans, pricing & billing

The Services are offered on Free and paid plans. Current pricing is shown on our pricing page. Key points:

• All prices are in Australian dollars (AUD) and inclusive of GST unless stated otherwise.
• Paid plans are billed in advance on a recurring basis — monthly or annually, depending on the cycle you choose — and renew automatically until cancelled.
• Annual plans are discounted 20% against the equivalent monthly rate.
• Launch pricing. Promotional launch rates (for example, introductory paid-tier pricing) apply for the stated launch period — your first 30 days. After that period, standard rates apply to subsequent billing cycles. We will make the standard rate clear before it takes effect.
• You can cancel at any time from your account. Cancellation stops future renewals; it takes effect at the end of your current paid period, and you keep access until then.
• Except where required by law (including the Australian Consumer Law), fees already paid are non-refundable, and we do not provide partial refunds for unused time.
• We may change our prices. For existing paid subscribers, price changes apply from the next renewal after we give reasonable notice.

Payments are processed by our third-party payment provider. We do not store full card details on our servers.

05 Free plans & trials

Free plans have usage limits (such as a set number of analyses or reports each month). We may change these limits with reasonable notice. Free plans are provided "as is" and may be modified or discontinued. Fair-use applies — we may limit or suspend accounts that appear automated, abusive, or designed to circumvent paid limits.

06 Acceptable use

You agree not to:

• use the Services unlawfully, or to create false, misleading or fraudulent records;
• upload content you do not have the right to use, or that infringes another person's rights;
• attempt to access, probe or disrupt the Services, other accounts, or our infrastructure;
• reverse engineer, scrape, or resell the Services except as permitted by law;
• share account access in breach of your plan's seat limits.

07 Professional judgement & outputs

The Services help you work faster — they do not replace your professional skill, licensing obligations, or duty of care. In particular:

• Kelvyn produces indicative load and sizing estimates based on the data you supply. You are responsible for checking inputs and confirming the final sizing against the relevant standards and site conditions before installation.
• Tradox produces reports from your recordings. You are responsible for reviewing each report for accuracy and completeness before relying on, sharing, or submitting it. We do not provide legal advice.

You rely on any output at your own professional discretion.

08 Your content & data

You keep ownership of the content you upload or create using the Services (photos, recordings, job details, reports — your "Content"). You grant Valdryss a licence to host, process and display your Content as needed to provide and improve the Services. How we handle personal information is set out in our Privacy Policy.

You are responsible for keeping your own copies of important records. While we maintain backups, you should not rely on the Services as your sole record store.

09 Intellectual property

The Services, including all software, branding, and the Valdryss, Kelvyn and Tradox names and logos, are owned by Valdryss or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services under these terms. Nothing here transfers our intellectual property to you.

10 Third-party services

The Services rely on third-party providers for hosting, authentication, payments and AI processing. Their availability and terms are outside our control. We are not responsible for third-party services, and your use of them may be subject to their own terms.

11 Australian Consumer Law

Our Services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the ACL or other law that cannot lawfully be excluded.

Where we are permitted to limit our liability for a failure to comply with a consumer guarantee, our liability is limited (at our option) to re-supplying the relevant Services or paying the cost of having them re-supplied.

12 Liability

Subject to section 11, and to the extent permitted by law:

• the Services are provided "as is" and "as available", without warranties beyond those that cannot be excluded;
• we are not liable for indirect, special or consequential loss, or for loss of profit, revenue, data or goodwill; and
• our total liability arising out of or in connection with the Services is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim.

13 Suspension & termination

You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these terms, if required by law, or to protect the Services or other users. On termination, your right to use the Services ends. We may delete your Content after a reasonable period, subject to our Privacy Policy and any retention you have selected (such as long-term report storage in Tradox).

14 Changes to these terms

We may update these terms from time to time. If we make material changes, we will give reasonable notice (for example, by email or an in-product notice). Continuing to use the Services after changes take effect means you accept the updated terms.

15 Governing law

These terms are governed by the laws of Western Australia, Australia. You and Valdryss submit to the non-exclusive jurisdiction of the courts of Western Australia.
